These terms govern your use of the Consulaw Technologies website and any services we provide. Please read them carefully before engaging with us.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Consulaw Technologies Ltd, a company incorporated in Lagos, Nigeria. They apply to your use of our website at consulawtech.com and all related services.
Acceptance of Terms
- By accessing consulawtech.com or engaging Consulaw Technologies for any service, you agree to be bound by these Terms of Service.
- If you are acting on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.
- We may update these terms from time to time. Continued use of our website or services after changes constitutes acceptance of the revised terms.
- If you do not agree with any part of these terms, please discontinue use of our website and services.
Services
- Consulaw Technologies provides digital transformation, enterprise systems, AI solutions, software development, and related consulting services.
- Specific deliverables, timelines, and fees are defined in individual Statements of Work (SOW) or Service Agreements signed between the parties.
- We reserve the right to decline or discontinue any service at our discretion, subject to any existing contractual obligations.
- Service scope changes must be agreed in writing by both parties to be effective.
Payments & Fees
- All fees are specified in the applicable SOW or invoice. Payments are due on the dates stated therein.
- Invoices unpaid beyond 30 days from the due date may attract a late payment fee of 2% per month on the outstanding balance.
- Unless stated otherwise, all fees are exclusive of applicable Nigerian taxes (VAT, WHT) which will be added to invoices as required by law.
- For project-based engagements, milestone payments are non-refundable once the corresponding deliverable has been approved.
Intellectual Property
- All content on this website — including text, design, graphics, and code — is the property of Consulaw Technologies and protected by applicable IP law.
- Custom software and deliverables created under a paid engagement become the property of the client upon receipt of full payment, unless otherwise agreed in writing.
- Pre-existing tools, frameworks, libraries, or proprietary components used in delivery remain the property of Consulaw Technologies and are licensed to the client for use.
- You may not reproduce, resell, or redistribute any website content without prior written consent.
Limitation of Liability
- Our total liability to you for any claim arising from these terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages of any kind, including loss of revenue or data.
- We do not warrant that our website will be uninterrupted, error-free, or free of viruses or harmful components.
- Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.
Prohibited Use
- You may not use our website or services for any unlawful purpose or in violation of applicable Nigerian or international law.
- You may not attempt to gain unauthorised access to our systems, client data, or internal infrastructure.
- You may not use automated tools to scrape, crawl, or harvest data from our website without express written consent.
- Any attempt to interfere with the operation of our website or services may result in immediate termination and legal action.
Termination
- Either party may terminate a service engagement by providing written notice as specified in the applicable SOW.
- We may suspend or terminate access to our website or services immediately if you breach these terms.
- Upon termination, your right to use our services ceases immediately. Outstanding payment obligations survive termination.
- Provisions relating to IP, liability, and confidentiality survive any termination of these terms.
Governing Law & Disputes
- These terms are governed by the laws of the Federal Republic of Nigeria.
- Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria.
- Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, Cap A18 LFN 2004.
- Nothing herein prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
